Terms of Service

These Terms of Service ("Terms") govern your access to and use of the InternalPayroll platform, website and related services (the "Service"). By requesting an account, requesting a demo, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Use at your own risk. The Service is provided on an "as is" and "as available" basis. We will make reasonable efforts to keep the Service running and your data secure, but we make no guarantee of security, accuracy, availability or fitness for any purpose, and you use the Service entirely at your own risk. You are responsible for verifying all payroll, tax and financial outputs and for maintaining your own backups.

The service

InternalPayroll is a multi-company payroll and office-management platform. Each company is provisioned as an isolated workspace with its own database and subdomain. Features may be added, changed or removed at any time.

Accounts & eligibility

  • Accounts are provisioned by us after you request one and payment is received. You are responsible for the accuracy of the information you provide.
  • You are responsible for safeguarding your login credentials and for all activity that occurs under your account or workspace, including the actions of coordinators and client users you invite.
  • You represent that you have the authority to enter into these Terms on behalf of your company and that your use complies with all laws applicable to you.

Fees & payment

  • The Service is charged as a one-time registration fee of $500 plus a recurring fee of $25 per month, unless otherwise agreed in writing.
  • Payment is made by wire transfer, cheque or cash — there is no credit-card requirement. Access may be suspended or terminated for non-payment.
  • Fees are non-refundable except where required by law, and are exclusive of any taxes, duties or bank charges that may apply.

Demo access

We may offer a shared demonstration workspace. Demo data is public, shared among visitors, may be edited by anyone with access, and is reset or purged periodically without notice. Do not enter real, confidential or personal data into the demo. Demo access is provided for evaluation only, without any warranty.

Acceptable use

You agree not to misuse the Service, including by attempting to access another company's data, probing or breaching security, disrupting the platform, uploading unlawful or infringing content, reselling the Service without authorisation, or using it in violation of any applicable law. We may suspend access immediately for conduct we reasonably consider harmful.

Your data & responsibilities

You retain ownership of the data you enter into your workspace and grant us the limited rights necessary to host and operate the Service on your behalf. You are solely responsible for the legality, accuracy and backup of your data, and for ensuring your payroll and tax practices comply with the regulations applicable to you. Our handling of personal information is described in our Privacy Policy.

No professional advice

The Service provides tools to assist with payroll and financial administration. It does not constitute accounting, tax, legal or professional advice. Tax tables, calculations and outputs are provided for convenience only; you are responsible for verifying them and for compliance with applicable law.

Availability & support

We aim to keep the Service available and reliable but do not guarantee uninterrupted, timely, secure or error-free operation. We may perform maintenance, impose limits, or modify or discontinue features at any time, with or without notice.

Disclaimers

To the fullest extent permitted by law, the Service and all content are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement. We do not warrant that the Service will meet your requirements, be secure, or be free of errors, viruses or data loss.

Limitation of liability

To the fullest extent permitted by law, InternalPayroll, its owners, operators, employees and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or related to your use of (or inability to use) the Service — even if advised of the possibility of such damages. Our total aggregate liability for any and all claims relating to the Service shall not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnity

You agree to indemnify and hold harmless InternalPayroll and its operators from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your data, your use of the Service, or your breach of these Terms.

Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or conduct we reasonably consider harmful. On termination we may make your data available for a reasonable period on request, after which it may be deleted, subject to legal requirements.

Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws applicable at the operator's principal place of business, without regard to conflict-of-laws principles, and you submit to the exclusive jurisdiction of the competent courts there for any dispute.
